The Composition of Boards
Referring to the lists of most admired companies as identified by Fortune magazine (see Skill-Building Exercise 7.3, page 171), go to the library or the Internet and research the board of directors for any five companies from the most admired list for 2011 and five from the most admired list for 2001. Determine how many outside directors and how many inside directors are serving each company. This information can be found in each company's annual report or in Standard Poor's Register of Corporations , which is published annually.
1. Do most of these large, publicly held companies have a majority of inside or outside directors?
2. Are there any obvious differences in the composition of the boards of those companies from the 2011 list of the most admired companies as compared to those from the 2001 list?
3. Do you think the trend in large companies is toward more inside or more outside directors?
